Counsel to Groupe Barriere in connection with FIMALAC's exit from the Group and and from SFCMC

Osborne Clarke and Moncey Avocats have assisted Groupe Barriere in the exit of FIMALAC (a group owned by Marc Ladreit de Lacharriere) from Groupe Lucien Barriere (GLB) (40%), the group's main holding company, and Société Fermière du Casino Municipal de Cannes (SFCMC) (10%), a company listed on Euronext.
With the sale today of the minority stake held by FIMALAC in GLB since 2011, GLB's entire capital is now held by the family holding company (SPD) controlled by Alexandre Barriere and Joy Desseigne-Barriere.
The transaction includes a two-pronged financing package:
Financing of the acquisition by SPD, the family holding company,
Financing at Groupe Lucien Barriere level, via a dividend recapitalization, a RCF, and refinancing through a new Euro PP issue.
