Advised MBO+ on its minority investment in Diferbat

Moncey Avocats advised MBO+, through its MBO Flex fund, on its minority investment in Diferbat, a French B2B distributor of gate automation systems and access control solutions, alongside its CEO Julien Frainet.
This sponsorless transaction enables Julien Frainet to become the majority shareholder of Diferbat and includes the opening of the company’s capital to key managers. It is intended to support the group’s next phase of development, both through organic growth and acquisitions, by accelerating its territorial expansion in a fragmented market.
This investment is one of the first five made by the MBO Flex fund, launched in July 2024 following an initial closing of €100 million.
