16.december.2025
Moncey Avocats advised B&Capital on its majority stake acquisition in the Soverep Group, alongside the historical shareholders Sébastien Pouneau and Julie Bernard, as well as the management team, as part of a primary transaction.
This transaction marks the fifth investment of the RB Capital France 2 fund, managed by B&Capital.
Founded in 1962 and taken over in 2014 by a group of shareholders led by Sébastien Pouneau, Soverep has established itself as a leading automotive equipment manufacturer specializing in transport vehicles and electric mobility. The group designs, assembles, and supplies a comprehensive range of components to manufacturers, including seats, lighting systems, batteries, and accessories. Based in France and Morocco, with an in-house R&D team and a network of qualified suppliers, Soverep controls the entire value chain—from co-design to final delivery.
With the support of B&Capital, Soverep aims to accelerate its international expansion, strengthen its presence in its core markets, and pursue growth in new niche segments, particularly motorhomes and special vehicles. The group also has strong external growth ambitions to reach a new stage of development.
B&Capital was advised by a Moncey Avocats team comprising:

Guillaume Giuliani, partner, Alix Auclair and Victoria Saint-Julien, associates, on corporate matters;
