Advised ARCOLE on its acquisition of a majority stake in Arbois Tourisme

Moncey Avocats advised ARCOLE, an independent investment management firm specializing in supporting French SMEs and mid-sized companies, on its acquisition of a majority stake in Arbois Tourisme, a regional passenger transport operator in Bourgogne-Franche-Comté, alongside Jean-Baptiste Sciandra, the group's new CEO, and the longstanding family shareholder.

Carried out through the ARCOLE II fund, this Management Buy-In (MBI) transaction facilitates the ownership transition of Arbois Tourisme, historically owned by the Ramousse family.

Based in Arbois, in the Jura region, the group specializes in school transportation, the operation of scheduled bus services, and the organization of tourist tours. It operates a fleet of more than 150 coaches and ten travel agencies, generates annual revenue of €14 million, and employs approximately 200 people.

Following the transaction, Jean-Baptiste Sciandra takes over as CEO of the group and becomes a minority shareholder. Frédéric Ramousse, the group's longstanding CEO, retains an equity stake and will continue to support the company.

With ARCOLE's backing, the transaction aims to support Arbois Tourisme's continued growth, particularly through the modernization of its management systems and fleet.

ARCOLE was advised by a Moncey Avocats team comprising:

  • Guillaume Giuliani, Partner, and Victoria Saint-Julien, Associate, on corporate matters.

  • Frédéric Bosc, Partner, and Margot Bosc, Associate, on tax matters.

  • Jonathan Devillard, Partner, and Hélène Tazé and Ines Ourabi, Associates, on financing matters.

  • Camille Cournot, Partner, and Anne-Sophie Laird, Associate, on employment law matters.
